CONTRACT PERIOD
This agreement is valid from {contract_datestart} to {contract_dateend}, unless terminated earlier in accordance with the terms of this contract.
CONTRACT VALUE & CREDIT NOTES
- The contract value is considered Gross ( {contract_contract_value} ), meaning it reflects the total charges for the agreed services before any deductions.
- If any credit notes exist prior to or during the contract period, they will be accounted for and deducted on the applicable invoice(s) during billing or immediately after contract signing.
- The Provider reserves the right to verify the validity of any credit note before applying it.
- Any unused credit notes cannot exceed the payable amount for the invoice to which they are applied.
PAYMENT TERMS
- All invoices must be settled according to the agreed billing cycle.
- Payments must reflect the final billed amount after deducting approved credit notes.
- Late payments may attract penalties in line with company policy.
- Any additional services outside the agreed scope will be invoiced separately.
RESPONSIBILITIES OF THE PROVIDER
- Deliver the contracted services professionally and within agreed timelines.
- Provide reasonable technical support and updates where applicable.
- Maintain confidentiality and handle customer data securely.
RESPONSIBILITIES OF THE CUSTOMER
- Provide accurate and timely information required to enable service delivery.
- Ensure timely payment of invoices.
- Comply with applicable laws and acceptable use policies.
TERMINATION CLAUSE
Either party may terminate this agreement by written notice if the other party fails to fulfill its obligations or fails to resolve disputes within reasonable time frames.
